Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and SandmanCI LLC ("SandmanCI," "we," "our," or "us") and govern your access to and use of the sandmanci.com website, the Sandman platform, and all related services, including the AI Studio (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to:

• Be bound by these Terms of Service
• Comply with our Privacy Policy
• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding agreement

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Sandman is an AI-powered content-creation and performance-analysis platform for short-form video creators and real estate professionals. The Service includes:

2.1 Core Features

• AI Studio — Guided short-form video creation, including AI avatar video generation, a library of public avatars, the ability to create a personal digital avatar from your own footage (with your explicit consent), AI voice synthesis, script generation, scene-based editing with image and video backgrounds, and background music
• Data Analysis — Collection and analysis of publicly available social media video data from platforms including TikTok, Instagram Reels, and YouTube Shorts
• AI-Powered Chat — Conversational interface providing performance insights, content recommendations, and strategy guidance grounded in your analyzed data, powered by OpenAI and Anthropic models
• Workflows — Pre-built guided workflows (including the Batch Script Generator) that automate common content-strategy tasks
• Docstore — Upload documents and generate scripts and answers grounded in their contents
• Analytics & Reports — Connected-profile analytics tracking and periodic performance reports, based on your subscription tier
• Trends — Trending-topic and local content-idea discovery (available on paid plans)
• Profile & Job Management — Request analysis of social media profiles within your plan limits and track the status of your requests

2.2 Service Limitations

• Analysis is limited to publicly available information only
• Data collection is subject to source platform availability and rate limits
• Service availability is subject to subscription status and plan limits
• Generated videos are subject to length, file-size, and content limits (see Section 4.3)
• We reserve the right to modify, suspend, or discontinue features at any time
• The 5-minute edit window after an analysis request is final; changes after that window require contacting support

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Choose a strong password and keep it confidential
• Notify us immediately of any unauthorized access to your account

3.2 Account Responsibility

You are responsible for:

• All activities that occur under your account
• Maintaining the security of your login credentials
• Any content you submit or actions taken through your account

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your payment method fails or your subscription expires
• We discontinue the Service

4. Subscription Plans, Free Trial, and Billing

4.1 Plan Tiers

SandmanCI offers the following subscription plans:

"Fast" refers to our standard AI model (provided by OpenAI); "Pro" refers to our advanced AI model (provided by Anthropic). Model providers and versions may change without notice. Plan features, limits, and pricing as displayed on our pricing page at the time of purchase control in the event of any discrepancy with the table above.

4.2 Billing and Payment

• Subscriptions are billed monthly or annually in advance
• Annual plans provide approximately a 20% discount compared to monthly billing
• Payment is processed securely through Stripe; all fees are in U.S. Dollars (USD)
• Recurring authorization — By subscribing, you authorize SandmanCI LLC to charge your payment method for the subscription fee now (or at the end of your free trial) and on a recurring basis each billing period until you cancel
• Promotion codes, where offered, are applied at checkout and are subject to the specific terms of each promotion
• Prices are subject to change with 30 days' notice
• Each account may hold only one active subscription at a time

4.3 Plan Limits and Quotas

• Analysis limits — Maximum number of unique social media profiles and videos that can be analyzed per billing period; video allocations can be distributed flexibly across your profiles
• Studio limits — Maximum number of avatar creations and video generations per billing period, per the table above
• Video length and uploads — Generated videos are limited to approximately 2 minutes (60 seconds during a free trial); background uploads are limited to 100 MB for video and 50 MB for images
• Quota counting — An avatar creation counts toward your quota once training begins (failed creations do not count); a video generation counts when it completes. Deleting a generated video does not restore quota — generation costs are incurred when the video is rendered
• Quota reset — Monthly plans reset at the start of each billing period. Annual plans reset usage quotas on the first of each calendar month
• Upgrades — You may upgrade your plan in-app at any time; the new plan is charged immediately (with a prorated credit for unused time on your current plan), a new billing cycle starts at the moment of upgrade, and your quotas reset with the new plan's allowance. Downgrades are handled through support
• Profile management — Profile swaps/edits are limited per plan over rolling two-week windows
• Exceeding plan limits will result in request rejection until the next billing period or until you upgrade

4.4 Free Trial

New subscribers receive a 3-day free trial when subscribing to any plan, subject to the following:

• One trial per account, ever — Trial eligibility is limited to accounts with no prior subscription history, including previously canceled trials. We reserve the right to deny trials to accounts we reasonably believe are duplicates created to obtain additional trials
• Payment method required — You must provide a valid payment method to start a trial. Your payment method will be charged the full price of your selected plan automatically when the trial ends, unless you cancel before the end of the trial
• Trial limits — During the trial, usage limits are the same regardless of which plan you selected: 1 analyzed social profile, 30 analyzed videos, 1 analytics profile, 1 avatar creation, 3 video generations (maximum 60 seconds each), and 1 workflow run. The Trends feature and the Pro AI model are not available during the trial
• Immediate activation — You may activate your plan (or switch to a different plan) at any time during the trial. Doing so ends the trial immediately, charges the selected plan's full price, starts a new billing cycle from that moment, and unlocks the plan's full limits
• Cancellation during trial — If you cancel during the trial, you retain trial access until the trial ends and will not be charged
• We reserve the right to modify or discontinue the free trial offer at any time

4.5 Refund Policy

• No refunds — All subscription fees are non-refundable
• Cancellation — You may cancel your subscription at any time through the billing portal; access continues until the end of your current billing period (or trial)
• Service issues — If we fail to deliver the Service due to our error, we may provide a prorated credit at our discretion

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service to:

• Analyze publicly available social media content
• Generate insights for your own content strategy
• Create videos using public avatars or your own consented digital avatar
• Create content recommendations based on performance data
• Manage your own social media profiles and content

5.2 Prohibited Activities

You may NOT:

• Violate laws — Use the Service for any illegal purpose or in violation of any applicable laws
• Infringe rights — Violate intellectual property, privacy, publicity, or other rights of third parties
• Impersonate via AI — Create an avatar of, or generate content depicting the likeness or voice of, any person other than yourself without their documented authorization (see Section 6)
• Deceive — Use generated content to mislead others into believing it is authentic human-recorded footage where this would cause harm, or to spread misinformation
• Abuse automation — Attempt to circumvent rate limits, quotas (including by deleting and re-generating content), trial restrictions (including by creating multiple accounts), or other automated controls
• Scrape or abuse — Use automated tools to access the Service beyond normal use
• Reverse engineer — Attempt to decompile, disassemble, or reverse engineer the Service
• Resell or transfer — Resell, sublicense, or transfer your account or access to third parties
• Interfere — Interfere with or disrupt the Service, servers, or infrastructure
• Spam or harass — Send unsolicited communications or harass other users
• Collect data — Collect or harvest information about other users without consent
• Competitive analysis — Use the Service to build a competing product or service
• Evade monitoring — Attempt to disable or circumvent error monitoring, health checks, or security systems

5.3 Content Restrictions

You may not submit, request analysis of, or generate:

• Content you do not have rights to analyze or use
• Private or non-public social media accounts (without authorization)
• Content that violates platform terms of service
• Illegal, harmful, defamatory, sexually explicit, or offensive content
• Content depicting minors

5.4 Rate Limits

The Service enforces automated rate limits to ensure fair access for all users:

• Chat: 30 requests per minute per user
• Video generation requests: 5 per minute per user
• These limits may be adjusted at our discretion

Attempting to circumvent rate limits is a violation of these Terms and may result in account suspension.

5.5 Enforcement

Violation of this Acceptable Use Policy may result in:

• Warning or notice
• Removal of offending content or avatars
• Temporary suspension of Service
• Permanent termination of your account
• Legal action if necessary

6. AI Studio, Avatars, and Digital Likeness

6.1 Personal Avatar and Voice Creation and Consent

The AI Studio allows you to create a digital avatar (a "Digital Twin") from video footage of yourself, and to create a cloned voice from audio you provide. By creating a Digital Twin or a cloned voice, you:

• Represent and warrant that the footage and voice you submit depict or belong to you, or a person who has given you documented, informed consent to create and use their digital likeness or voice
• Must complete the consent verification step required during avatar or voice creation; avatars and cloned voices are not fully activated until consent is confirmed
• Consent to the processing of the submitted footage and audio by us and our avatar- and voice-generation providers (HeyGen for avatars and avatar voices; ElevenLabs for voice cloning) for the purpose of creating and operating your avatar or cloned voice

6.2 License to Your Likeness

You retain all rights in your likeness and voice. You grant SandmanCI LLC a limited, non-exclusive, revocable license to process, store, and reproduce your submitted footage, voice, and resulting avatar solely to provide the Service to you. We do not use your likeness or voice for any other purpose, do not make your personal avatar available to other users, and do not sell likeness data.

6.3 Generated Content

• As between you and SandmanCI, you own the videos you generate with the Service, subject to the rights of any third parties whose materials are included (e.g., stock media, music)
• You are solely responsible for generated content and for how you use and publish it, including compliance with advertising, disclosure, and AI-labeling requirements applicable to you
• Stock photos and videos sourced through the Service (e.g., via Pexels) are subject to the applicable stock-media license terms
• We may remove generated content or disable avatars that we reasonably believe violate these Terms or applicable law

6.4 Avatar and Content Deletion

You may delete your avatars and generated videos at any time. Deletion removes the content from our active systems and instructs our avatar-generation provider to delete the associated assets. Records of generation activity may be retained for quota and billing integrity (deleting a video does not restore quota for the current period).

7. Intellectual Property Rights

7.1 SandmanCI's Rights

All rights, title, and interest in the Service, including:

• Software, code, and algorithms
• User interface and design
• Trademarks, logos, and branding
• Documentation and content we create

are owned by SandmanCI LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Your Rights

You retain all rights to:

• Your account information
• Your likeness, voice, and footage you submit (see Section 6.2)
• Documents you upload to the Docstore
• Social media profiles you submit for analysis
• Content you create based on our insights and videos you generate

7.3 License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

7.4 License to Your Content

By submitting content to the Service (e.g., profile requests, chat messages, documents, scripts, footage), you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and analyze your content
• Use your content to provide the Service, including transmitting it to the third-party processors described in our Privacy Policy
• Improve our algorithms and features (in anonymized, aggregated form only)

We will not share your specific content with third parties except as described in our Privacy Policy.

7.5 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.

8. Data Collection and Privacy

8.1 Data We Collect

We collect and process:

• Account information (email, password)
• Payment information (via Stripe)
• Social media handles and profile data you submit
• Publicly available video data from requested profiles
• Avatar footage, voice recordings, and consent records (AI Studio)
• Documents you upload to the Docstore
• Location information you provide for local trends features
• Chat messages and usage data
• Error and performance data (via Sentry)
• Product usage analytics (via PostHog)
• Consent records (timestamp of Terms acceptance and avatar consent)

8.2 Privacy Policy

Our collection, use, and sharing of your data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

8.3 Third-Party Data

When you request analysis of social media profiles:

• We only collect publicly available information
• You represent that you have the right to request this analysis
• You are responsible for compliance with platform terms of service
• We are not responsible for the accuracy or completeness of third-party data

9. AI Processing and Outputs

9.1 Nature of AI Outputs

The Service uses artificial intelligence — including large language models from OpenAI and Anthropic, avatar/video-generation technology from HeyGen, and voice-cloning and speech-synthesis technology from ElevenLabs — to generate insights, recommendations, scripts, voices, and videos.

9.2 No Guarantees on AI Outputs

We do not guarantee that:

• AI-generated insights are always accurate, complete, or current
• Following recommendations will achieve specific results
• Generated videos, voices, or avatars will be free of artifacts or meet a particular quality standard
• Content suggestions will perform as predicted
• A specific AI provider or model will be used for any given request (fallback may occur automatically)

9.3 Your Responsibility

You are solely responsible for:

• Evaluating the accuracy and suitability of AI outputs before relying on or publishing them
• Making your own independent decisions about content strategy
• Reviewing generated videos before publication
• Compliance with platform policies, advertising rules, and disclosure obligations when publishing AI-generated content

9.4 Not Professional Advice

The Service provides informational content only and does not constitute:

• Professional marketing or business advice
• Legal, financial, tax, or real estate advice
• Guarantees of performance or results

10. Service Availability and Support

10.1 Uptime

We strive to provide reliable Service availability but do not guarantee:

• Uninterrupted or error-free operation
• Specific uptime percentages
• Availability during maintenance or updates
• Specific turnaround times for analysis jobs, avatar training, or video rendering

We monitor service health continuously via automated health checks on all critical dependencies.

10.2 Maintenance

We may perform scheduled or emergency maintenance that temporarily interrupts the Service. We will provide advance notice when reasonably possible.

10.3 Support

We provide email support at support@sandmanci.com. We aim to respond within 24-48 hours during business days but do not guarantee specific response times.

10.4 Service Changes

We reserve the right to:

• Modify or discontinue features
• Change pricing with 30 days' notice
• Update these Terms (see Section 17)
• Impose new limits or restrictions
• Change AI model or generation providers, or add fallback providers, without notice

11. Limitation of Liability

11.1 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy or quality of AI-generated content

11.2 Limitation of Damages

To the maximum extent permitted by law, SandmanCI LLC shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from use or inability to use the Service
• Damages arising from third-party content or services
• Damages arising from automated pipeline delays or failures
• Damages arising from AI model outputs, generated content, or provider-side failures
• Damages arising from your publication or use of generated content

11.3 Maximum Liability

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11.4 Exceptions

Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless SandmanCI LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties, including intellectual property, privacy, and publicity rights
• Content you submit to the Service, including footage or voice of any person submitted without proper authorization
• Content you generate with the Service and your publication or use of it
• Your violation of applicable laws or regulations
• Your violation of third-party platform terms of service in connection with using our Service

13. Copyright and DMCA Policy

SandmanCI LLC respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that content on the Service infringes a copyright you own or control, you may send a written notice of claimed infringement to our designated Copyright Agent using the contact information below.

13.1 Designated Copyright Agent

SandmanCI LLC is registered with the U.S. Copyright Office DMCA Designated Agent Directory (Registration No. DMCA-1074685).

13.2 Filing a Notice of Infringement

To be effective, your written notice must include:

• Your physical or electronic signature
• Identification of the copyrighted work you claim has been infringed
• Identification of the material you claim is infringing, and information reasonably sufficient to allow us to locate it (for example, the URL or a description of where it appears on the Service)
• Your contact information, including your name, mailing address, telephone number, and email address
• A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf

13.3 Our Response

Upon receipt of a valid notice, we will remove or disable access to the allegedly infringing material and will make a good-faith effort to notify the user who provided it. We may reinstate material in response to a valid counter-notification. If you believe your content was removed or disabled by mistake or misidentification, you may submit a written counter-notification to the Copyright Agent at the address above.

13.4 Repeat Infringers

In appropriate circumstances and at our discretion, we will disable and/or terminate the accounts of users who are determined to be repeat infringers.

14. Third-Party Services and Links

14.1 Third-Party Integrations

The Service integrates with third-party services including:

• Stripe — Payment processing and billing portal
• Supabase — Data storage and authentication
• HeyGen — AI avatar creation, voice synthesis, and video generation
• ElevenLabs — AI voice cloning and speech synthesis
• OpenAI and Anthropic — AI language models (with automatic fallback between providers)
• Pexels — Stock photos and videos for video backgrounds
• Inngest — Background workflow orchestration
• Sentry — Error monitoring and performance tracking
• PostHog — Product analytics
• Upstash — Distributed rate limiting
• Google Cloud Platform — Automated analysis pipeline
• Resend — Transactional email delivery
• Social media platforms — Data sources

14.2 Third-Party Terms

Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services or their practices.

14.3 External Links

The Service may contain links to external websites. We do not endorse or control these sites and are not responsible for their content or practices.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.

15.2 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration rather than in court, except:

• Small claims court actions (under $10,000)
• Intellectual property disputes
• Injunctive relief requests

15.3 Arbitration Process

• Arbitration will be conducted by the American Arbitration Association (AAA)
• Arbitration will be held in Illinois or remotely
• Each party pays their own costs unless otherwise awarded
• The arbitrator's decision is final and binding

15.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action or class-wide arbitration.

15.5 Opt-Out

You may opt out of arbitration by sending written notice to support@sandmanci.com within 30 days of account creation.

16. Export Controls

You may not use or export the Service in violation of U.S. export laws and regulations. You represent that you are not:

• Located in a country subject to U.S. embargo
• Listed on any U.S. government list of prohibited or restricted parties

17. Changes to Terms

17.1 Modifications

We may modify these Terms at any time. When we make material changes, we will:

• Post the updated Terms on this page
• Update the "Last Updated" date
• Notify you via email or in-app notification

17.2 Acceptance

Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SandmanCI LLC regarding the Service.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility failures, AI provider outages, or third-party service disruptions.

18.6 Notices

Notices to you may be sent via email to your registered email address or posted on the Service. Notices to us should be sent to:

Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution) will survive termination of these Terms.
